Venue Partner Operating Agreement

1. Introduction
This Venue Partner Operating Agreement (“Agreement”) governs participation in the Influencers Night Media Venue Partner Program (“Venue Partner Program”) operated by Influencers Night Media (“Influencers Night Media”, “Company”, “we”, “our”, or “us”).
By applying to join, registering for, listing a venue on, or otherwise participating in the Venue Partner Program, you agree to be legally bound by this Agreement, together with the applicable Terms of Use, Privacy Policy and any other policies, terms, or agreements published by Influencers Night Media from time to time.
If you do not agree to this Agreement, you must not participate in the Venue Partner Program.
This Agreement sets out the terms governing venue participation, referral-based customer bookings, booking attribution, referral commission obligations, payment responsibilities, verification procedures, and the respective rights and responsibilities of Venue Partners and Influencers Night Media.
Influencers Night Media reserves the right to amend, update, or modify this Agreement at any time. Any amendments shall become effective upon publication unless otherwise stated. Continued participation in the Venue Partner Program after such amendments constitutes acceptance of the revised Agreement.
Participation in the Venue Partner Program does not create any employment, partnership, joint venture, franchise, agency, fiduciary relationship, or representative relationship between the Venue Partner and Influencers Night Media.
Influencers Night Media operates as a technology-enabled referral and booking facilitation platform connecting customers with participating venues through approved referral channels, including Influencer Partners. Unless expressly agreed otherwise in writing, Influencers Night Media does not own, operate, manage, control, or provide the food, beverages, hospitality services, venue facilities, customer experience, or other services offered by any Venue Partner.
The Venue Partner remains solely responsible for:
- operating its venue;
- maintaining required licences, permissions, and regulatory compliance;
- delivering products and services offered to customers;
- managing venue staff and operations;
- ensuring service quality and customer experience; and
- resolving any venue-specific customer complaints relating to products, services, facilities, or operations.
This Agreement governs participation in the Venue Partner Referral Program. Any managed campaigns, creator collaborations, influencer events, or other marketing activations shall additionally be governed by the applicable Venue Terms & Conditions, Collaboration & Event Terms & Conditions, or other written agreement issued by Influencers Night Media.
2. Definitions
For the purposes of this Agreement, the following terms shall have the meanings set out below.
2.1 Venue Partner
A restaurant, café, lounge, rooftop, bar, club, hospitality establishment, or other approved business that owns, operates, or is legally authorised to represent a venue participating in the Influencers Night Media Venue Partner Program.
2.2 Venue
The physical hospitality establishment listed on the Influencers Night Media platform by a Venue Partner.
2.3 Venue Partner Program
The referral-based booking program operated by Influencers Night Media through which participating venues receive customer bookings generated through approved referral channels, including Influencer Partners.
2.4 Influencer Partner
An approved creator or influencer participating in the Influencers Night Media Affiliate Program who may generate customer bookings through assigned referral links, referral codes, or other approved tracking methods.
2.5 Referral Link
A unique tracking link assigned by Influencers Night Media to an Influencer Partner for generating customer bookings and measuring referral attribution.
2.6 Referral Code
A unique promotional code assigned by Influencers Night Media to an Influencer Partner for generating customer bookings and measuring referral attribution.
2.7 Referral Attribution
The process by which Influencers Night Media determines whether a customer booking is attributable to an Influencer Partner for commission purposes.
2.8 Eligible Booking
A customer booking that satisfies all applicable requirements under this Agreement and qualifies for referral commission payment.
2.9 Free Entry Booking
A booking where the customer does not make any payment through the Influencers Night Media platform at the time of booking.
2.10 Paid Booking
A booking where the customer is required to make payment through the Influencers Night Media platform before confirmation.
2.11 Confirmed Booking
A booking that has successfully completed the applicable confirmation requirements under this Agreement and any applicable event-specific terms.
2.12 Cancelled Booking
A booking cancelled in accordance with applicable cancellation terms before becoming eligible for referral commission, unless otherwise stated in Payment Cancellation & Refund Policy or specific event terms.
2.13 No-Show
A customer who completes a booking but fails to attend the Venue.
2.14 Eligible Attendee
A customer whose attendance at the Venue has been confirmed in accordance with this Agreement and applicable verification procedures.
2.15 Referral Commission
The amount payable by the Venue Partner to Influencers Night Media for Eligible Bookings or Eligible Attendees generated through approved referral channels, as applicable.
2.16 Venue Tier
The category assigned by Influencers Night Media to a Venue Partner for determining applicable referral commission rates.
2.17 Weekly Commission Statement
The statement issued by Influencers Night Media summarising Eligible Bookings, applicable referral commissions, adjustments, taxes where applicable, and the total amount payable by the Venue Partner for the relevant billing period.
2.18 Commission Period
The weekly period beginning at 12:00 a.m. Monday and ending at 11:59 p.m. Sunday during which Eligible Bookings are recorded for calculating referral commission.
3. Eligibility
To participate in the Venue Partner Program, an applicant must:
- own, operate, or be legally authorised to represent the venue;
- provide complete, accurate, and up-to-date information during the application process;
- maintain valid business, contact, and payment information;
- comply with this Agreement, applicable laws, regulations, licences, and industry requirements; and
- receive approval from Influencers Night Media.
Submitting an application does not guarantee acceptance into the Venue Partner Program.
Influencers Night Media reserves the unrestricted right to approve, reject, suspend, or terminate any Venue Partner application or account at its sole discretion, including where Influencers Night Media determines that a venue may negatively impact customers, Influencer Partners, platform reputation, or business standards.
4. Becoming a Venue Partner
Following approval, the Venue Partner may create and maintain a venue profile on the Influencers Night Media platform.
Influencers Night Media shall determine, at its sole discretion:
- whether a venue is approved for listing;
- the Venue Tier assigned to the venue;
- the referral campaigns or booking opportunities made available to the venue; and
- continued eligibility to participate in the Venue Partner Program.
Venue Tiers may be reviewed, modified, reassigned, or removed by Influencers Night Media at any time based on business requirements, platform standards, customer experience considerations, operational requirements, or other factors determined by Influencers Night Media.
The Venue Partner agrees that all information published on its venue profile, including but not limited to:
- operating hours;
- menus;
- pricing;
- booking requirements;
- cover charges;
- event information;
- photographs;
- age restrictions;
- dress codes;
- reservation policies; and
- any other customer-facing information,
shall remain accurate, complete, and updated.
The Venue Partner acknowledges that customers rely upon such information when making bookings through the Influencers Night Media platform and accepts responsibility for any inaccurate, incomplete, outdated, or misleading information provided by the Venue Partner.
Influencers Night Media reserves the right to edit, suspend, hide, or remove any venue listing, booking opportunity, or promotional placement that violates this Agreement, applicable law, platform policies, customer protection requirements, or the reputation standards of Influencers Night Media.
5. Referral Attribution
5.1 Referral Attribution
Influencers Night Media shall determine referral attribution for all Eligible Bookings using its referral tracking systems, booking records, verification processes, and other operational records maintained by the Company.
Referral attribution may be established through:
- an Influencer Partner’s Referral Link;
- an Influencer Partner’s Referral Code;
- platform-generated booking records; or
- any other tracking method implemented by Influencers Night Media.
The records maintained by Influencers Night Media shall serve as the primary record for determining referral attribution.
The Venue Partner acknowledges that referral attribution decisions are necessary for accurate commission calculation and agrees to accept the attribution records maintained by Influencers Night Media, subject to the dispute process provided under this Agreement.
5.2 Referral Link Attribution
Where a customer accesses the Influencers Night Media platform through an Influencer Partner’s Referral Link, such referral shall remain valid for twenty-four (24) hours from the customer’s first recorded visit.
If the customer completes an Eligible Booking within this attribution period, the booking shall be attributed to the relevant Influencer Partner unless a valid Referral Code is used during the booking process.
5.3 Referral Code Attribution
Where a customer enters a valid Referral Code during the booking process, the Referral Code shall override any previous Referral Link attribution.
Referral Code attribution shall apply regardless of whether the customer previously accessed the platform through another Influencer Partner’s Referral Link.
Referral Codes shall remain active until withdrawn, suspended, or deactivated by Influencers Night Media.
5.4 Final Attribution
All referral attribution decisions shall be made by Influencers Night Media based on platform records, booking information, tracking data, verification procedures, and other relevant information available to the Company.
In the event of any discrepancy, the records maintained by Influencers Night Media shall prevail unless the Venue Partner provides sufficient evidence demonstrating an error in attribution.
6. Eligible Bookings
Referral commission obligations shall arise only for Eligible Bookings.
A booking shall not qualify for referral commission merely because a customer visited or interacted with a venue after viewing content created by an Influencer Partner.
The booking must satisfy the applicable eligibility requirements stated in this Agreement.
6.1 Free Entry Bookings
For Free Entry Bookings, referral commission shall become payable when:
- the booking has been successfully attributed to an Influencer Partner;
- the customer attends the Venue;
- attendance has been accurately confirmed by the Venue Partner;
- the booking has been verified by Influencers Night Media; and
- the booking qualifies as an Eligible Attendee.
If the customer completes the booking but fails to attend the Venue, no referral commission shall be payable unless otherwise stated in applicable campaign or event terms.
The Venue Partner acknowledges that accurate attendance confirmation is essential for fair commission calculation and agrees not to intentionally delay, deny, or manipulate attendance verification.
6.2 Paid Bookings
For Paid Bookings, referral commission shall become payable once:
- the booking payment has been successfully completed by the customer through the Influencers Night Media platform; and
- the booking has been successfully attributed to the relevant Influencer Partner.
Customer cancellations, refunds, or disputes shall not automatically remove the Venue Partner’s commission obligation unless expressly stated otherwise in the applicable event-specific terms.
Any alternative commission treatment for specific paid events, ticketed experiences, or campaigns shall be communicated through the applicable Event Ticketing Booking & Refund Policy or event-specific terms before customer promotion begins.
6.3 Multiple Attendees
Where referral commission is calculated on a per-attendee basis, commission shall be payable only for Eligible Attendees whose attendance has been confirmed and verified in accordance with this Agreement.
The Venue Partner shall provide accurate attendance information and shall not exclude, modify, or misrepresent eligible attendees for the purpose of reducing commission obligations.
7. Venue Responsibilities
The Venue Partner agrees to:
- honour all confirmed bookings received through the Influencers Night Media platform;
- provide accurate booking, pricing, availability, and event information;
- accurately confirm customer attendance;
- provide customers with the products, services, and experiences described during booking;
- maintain required licences, permissions, and legal compliance;
- promptly notify Influencers Night Media of booking issues affecting customer experience or commission calculation;
- cooperate with verification, audit, and dispute resolution procedures; and
- maintain professional standards expected by customers, Influencer Partners, and Influencers Night Media.
The Venue Partner shall not:
- intentionally deny attendance to customers who have completed valid bookings;
- provide false attendance confirmations;
- manipulate booking records;
- encourage customers to avoid platform bookings to prevent commission payment;
- create misleading booking information; or
- interfere with referral attribution or commission calculations.
The Venue Partner remains solely responsible for the venue experience, including food quality, service standards, staff conduct, safety, seating arrangements, availability, and customer complaints relating to venue operations.
8. Referral Commission
Referral commission shall be payable according to the Venue Tier assigned by Influencers Night Media.
Unless otherwise specified through a specific campaign, event, or written agreement, the following standard referral commission rates shall apply:
Venue Tier | Referral Commission |
Tier 1 | ₹150 per Eligible Attendee |
Tier 2 | ₹250 per Eligible Attendee |
Tier 3 | ₹500 per Eligible Attendee |
Tier 4 | ₹800 per Eligible Attendee |
Special campaigns, festivals, ticketed events, or promotional activities may have different referral commission structures.
Any alternative referral commission rate shall be communicated before the Venue Partner participates in the relevant campaign or event.
Influencers Night Media reserves the right to revise:
- Venue Tiers;
- commission structures;
- campaign-specific rates; or
- referral programme terms.
Any revisions shall apply only to future bookings and shall not affect referral commissions already earned or payable.
9. Weekly Commission Statements and Payments
Referral commissions shall be calculated weekly from Monday 12:00 a.m. to Sunday 11:59 p.m.
Following completion of each Commission Period, Influencers Night Media shall issue a Weekly Commission Statement and applicable invoice containing:
- Eligible Bookings;
- Eligible Attendees;
- applicable referral commissions;
- adjustments, if any;
- applicable taxes, including GST where required; and
- total amount payable by the Venue Partner.
The Venue Partner shall make payment on or before Wednesday immediately following the relevant Commission Period.
Payment obligations shall remain valid regardless of whether the Venue Partner receives direct payment from customers, generates revenue from the booking, or independently chooses not to collect revenue from the customer.
9.1 Commission Disputes
If the Venue Partner believes any amount included in a Weekly Commission Statement or invoice is incorrect, the Venue Partner must notify Influencers Night Media in writing within forty-eight (48) hours of invoice issuance.
Failure to raise a written dispute within this period shall constitute acceptance of the statement and the amount shall become due and payable.
The Venue Partner shall remain responsible for payment of all undisputed amounts within the applicable payment deadline.
Only disputed items shall be reviewed by Influencers Night Media.
9.2 Late Payments
Where payment is not received by the applicable due date, a late payment charge of ten percent (10%) per day shall apply on the outstanding amount until the payment obligation is cleared.
If outstanding payment remains unpaid after the applicable recovery period, Influencers Night Media may:
- suspend the Venue Partner account;
- disable new customer bookings;
- remove or hide venue listings;
- suspend promotional activities;
- recover outstanding amounts through available legal remedies; and
- take any other action permitted under applicable law.
All outstanding payment obligations shall remain immediately due and payable.
9.3 Set-Off
Where permitted by applicable law, Influencers Night Media may set off any outstanding amounts owed by the Venue Partner against amounts payable by Influencers Night Media to the Venue Partner under any other commercial arrangement.
9.4 Survival of Payment Obligations
Termination, suspension, or removal of a Venue Partner from the Influencers Night Media platform shall not affect any referral commission already accrued or payable.
The Venue Partner remains responsible for all outstanding commissions relating to:
- completed Eligible Bookings;
- confirmed Paid Bookings;
- Eligible Attendees; or
- any other booking obligation that became payable before termination.
Payment obligations shall survive termination of this Agreement.
10. Verification
Influencers Night Media reserves the right to verify any booking, attendance record, referral attribution, commission calculation, payment obligation, or other information relevant to determining referral commission payable by the Venue Partner.
Verification may be conducted manually, electronically, through platform systems, through Venue Partner records, or through any other method reasonably considered appropriate by Influencers Night Media.
The Venue Partner agrees to fully cooperate with all verification requests and shall provide any information, records, documentation, or clarification reasonably requested by Influencers Night Media.
Failure by the Venue Partner to cooperate with verification requirements may result in:
- delayed commission calculations;
- suspension of bookings;
- suspension of referral participation;
- removal of promotional opportunities; or
- any other action permitted under this Agreement.
10.1 Booking Verification
Influencers Night Media shall verify booking eligibility and commission obligations using available platform records and operational data.
Verification may include, but is not limited to:
- booking confirmations;
- customer attendance;
- booking payments;
- referral attribution;
- cancellation records;
- refund records;
- venue confirmations;
- event participation; and
- any other information reasonably required to determine commission eligibility.
For Free Entry Bookings, confirmation from the participating Venue Partner shall be required before referral commission becomes payable.
The Venue Partner acknowledges that attendance verification is a critical part of the referral process and agrees to provide accurate and timely attendance confirmation.
Influencers Night Media may rely on platform records, venue records, customer records, payment records, or any other information reasonably available when determining booking eligibility and commission obligations.
10.2 Record Keeping
The Venue Partner shall maintain accurate records relating to bookings received through the Influencers Night Media platform, including:
- customer attendance records;
- booking details;
- transaction information;
- cancellation records; and
- any other records reasonably required for verification.
The Venue Partner shall retain such records for a minimum period of twelve (12) months from the relevant booking date.
Influencers Night Media may request access to such records where reasonably required for:
- commission verification;
- dispute resolution;
- fraud investigation;
- auditing purposes; or
- compliance requirements.
11. Booking and Commission Disputes
If either party disputes referral attribution, booking eligibility, attendance verification, commission calculation, or payment obligations, the dispute must be submitted in writing to Influencers Night Media.
Influencers Night Media may review the dispute using:
- platform records;
- booking data;
- referral tracking information;
- payment records;
- attendance confirmations;
- Venue Partner records; and
- any other relevant information available.
The Venue Partner agrees to cooperate in good faith during any investigation and shall provide supporting documentation where requested.
Influencers Night Media shall determine the outcome of the dispute after considering all relevant information available.
Unless otherwise required by applicable law, disputed amounts shall not suspend payment obligations for undisputed amounts.
12. Fraud and Misuse
The Venue Partner shall not, directly or indirectly:
- create or encourage fake bookings;
- submit false attendance confirmations;
- intentionally deny attendance for customers who have completed valid bookings;
- manipulate booking records, customer records, or commission calculations;
- interfere with referral attribution systems;
- encourage customers to bypass the Influencers Night Media platform to avoid referral commission;
- provide misleading information regarding bookings, attendance, payments, or cancellations;
- use deceptive practices to reduce commission obligations; or
- otherwise misuse the Venue Partner Program.
Any attempt to manipulate the Venue Partner Program, referral system, booking records, or commission calculations shall constitute a material breach of this Agreement.
12.1 Circumvention of Referral Commission
The Venue Partner shall not knowingly divert, redirect, or encourage customers referred through Influencer Partners or Influencers Night Media to complete bookings outside the platform for the purpose of avoiding referral commission obligations.
Where Influencers Night Media reasonably determines that a customer relationship originated through an Influencers Night Media referral channel, the applicable referral commission shall remain payable regardless of whether the Venue Partner subsequently attempts to process the booking through another channel.
Nothing in this Agreement restricts the Venue Partner from accepting:
- independent walk-in customers;
- customers who were not referred through Influencers Night Media; or
- bookings unrelated to the Influencers Night Media platform.
12.2 Consequences of Fraud or Misuse
Where Influencers Night Media reasonably believes that fraudulent activity, manipulation, circumvention, or misuse has occurred, Influencers Night Media may, without limitation:
- reject or adjust disputed commission claims;
- reverse improperly calculated commissions;
- suspend the Venue Partner account;
- disable bookings;
- remove venue listings;
- terminate participation in the Venue Partner Program;
- recover unpaid amounts;
- offset outstanding amounts against future payments where permitted by law; and
- pursue any legal remedies available under applicable law.
13. Right to Audit
Influencers Night Media reserves the right to audit any booking, attendance record, transaction record, customer record, payment record, or other information relevant to the calculation of referral commissions.
The Venue Partner agrees to provide reasonable access to records, documents, and information required for such audit.
An audit may be conducted where Influencers Night Media reasonably suspects:
- fraudulent activity;
- inaccurate attendance reporting;
- commission discrepancies;
- repeated booking disputes;
- circumvention attempts; or
- any material breach of this Agreement.
The Venue Partner shall cooperate with all reasonable audit requests.
14. Final Determination
The records maintained by Influencers Night Media shall serve as the primary record for determining:
- referral attribution;
- booking eligibility;
- attendance verification;
- commission calculations;
- payment obligations;
- dispute outcomes; and
- fraud investigations.
To the fullest extent permitted by applicable law, Influencers Night Media’s determination regarding referral attribution, booking verification, commission calculations, payment disputes, and programme enforcement shall be final and binding.
Nothing in this Agreement limits any statutory rights or legal remedies available to either party under applicable law.
15. Suspension and Termination
15.1 Suspension by Influencers Night Media
Influencers Night Media may suspend a Venue Partner’s participation in the Venue Partner Program, with or without prior notice, where it reasonably believes that the Venue Partner has:
- breached this Agreement or any applicable platform policy;
- failed to make payment obligations when due;
- repeatedly disputed valid referral commissions without reasonable grounds;
- provided false, incomplete, or misleading booking, attendance, or payment information;
- engaged in fraudulent, deceptive, or unlawful conduct;
- failed to honour confirmed customer bookings;
- intentionally denied valid customer attendance;
- attempted to circumvent the Influencers Night Media platform or avoid referral commission obligations;
- failed to maintain required licences, permissions, or legal compliance;
- provided poor customer experience standards that may harm customers, Influencer Partners, or the reputation of Influencers Night Media; or
- acted in any manner that may negatively impact the operation, integrity, or reputation of the Venue Partner Program.
During any period of suspension, Influencers Night Media may:
- suspend customer bookings;
- disable referral-based activities;
- pause promotional activities;
- hide or remove the venue listing;
- withhold pending promotional placements;
- restrict access to platform features; or
- take any other action reasonably necessary to protect customers, Influencer Partners, and the platform.
Suspension shall not remove or reduce any existing payment obligations of the Venue Partner.
15.2 Termination by Influencers Night Media
Influencers Night Media may terminate a Venue Partner’s participation in the Venue Partner Program by providing notice through email, platform notification, or any other reasonable communication method.
Termination may occur where the Venue Partner:
- breaches this Agreement;
- fails to resolve outstanding payment obligations;
- repeatedly violates platform standards;
- engages in fraudulent or misleading conduct;
- damages the reputation of Influencers Night Media;
- fails to maintain required eligibility requirements; or
- otherwise becomes unsuitable for continued participation.
Upon termination:
- the Venue Partner’s listing may be removed from the platform;
- future referral opportunities may cease;
- promotional activities may stop;
- access to platform features may be disabled; and
- all outstanding payment obligations shall remain immediately due and payable.
Termination shall not affect:
- referral commissions already earned;
- pending invoices;
- ongoing investigations;
- dispute resolution processes; or
- obligations intended to survive termination.
15.3 Voluntary Withdrawal by Venue Partner
A Venue Partner may request removal from the Venue Partner Program at any time.
Withdrawal shall not affect:
- outstanding referral commissions;
- pending invoices;
- payment obligations;
- ongoing investigations;
- customer bookings already accepted; or
- any obligations that survive termination under this Agreement.
Influencers Night Media may continue processing, verifying, and collecting amounts relating to bookings generated before the withdrawal date.
16. Mutual Confidentiality
During participation in the Venue Partner Program, each party may receive confidential or commercially sensitive information relating to the other party.
Confidential Information includes, but is not limited to:
- commission structures;
- referral information;
- customer information;
- campaign information;
- business processes;
- platform operations;
- pricing information;
- marketing strategies;
- operational procedures; and
- any information that is identified as confidential or reasonably understood to be confidential.
Each party agrees that it shall not disclose, publish, sell, misuse, or provide access to the other party’s Confidential Information except:
- for performing obligations under this Agreement;
- with prior written consent of the other party; or
- where disclosure is required by law.
This confidentiality obligation shall survive termination of this Agreement.
17. Intellectual Property
Influencers Night Media retains all ownership rights, title, and interest in:
- its platform;
- software;
- websites;
- referral systems;
- booking systems;
- trademarks;
- logos;
- branding;
- databases;
- technology; and
- all related intellectual property.
Nothing contained in this Agreement transfers ownership of Influencers Night Media intellectual property to the Venue Partner.
The Venue Partner is granted a limited, non-exclusive, revocable licence to use approved Influencers Night Media branding solely for participation in the Venue Partner Program.
The Venue Partner retains ownership of its own:
- trademarks;
- logos;
- venue branding;
- photographs;
- menus; and
- promotional materials.
Nothing in this Agreement grants Influencers Night Media ownership of Venue Partner intellectual property.
18. Independent Contractor Relationship
The relationship between Influencers Night Media and the Venue Partner is solely that of independent contracting parties.
Nothing contained in this Agreement shall be interpreted as creating:
- employment;
- partnership;
- agency;
- franchise;
- joint venture;
- fiduciary relationship; or
- representative authority.
Neither party has authority to bind, represent, or create obligations on behalf of the other unless expressly authorised in writing.
19. Taxes
Each party shall be solely responsible for determining, reporting, and paying its own applicable taxes, duties, levies, and statutory obligations arising from this Agreement.
Where applicable law requires tax deduction, collection, withholding, or reporting, the parties shall comply with such requirements.
Referral commission invoices may include applicable taxes, including GST, where legally required.
20. No Guaranteed Results
Influencers Night Media does not guarantee:
- any minimum number of bookings;
- customer traffic;
- revenue;
- occupancy;
- sales;
- return on investment;
- campaign performance; or
- business growth.
The Venue Partner acknowledges that actual results depend on multiple factors, including customer demand, market conditions, venue operations, pricing, service quality, and other circumstances outside the reasonable control of Influencers Night Media.
21. Limitation of Liability
To the fullest extent permitted by applicable law, Influencers Night Media shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to:
- participation in the Venue Partner Program;
- customer behaviour;
- customer cancellations;
- no-shows;
- venue operations;
- business interruption;
- loss of profits;
- loss of goodwill;
- technical failures;
- actions or omissions of Venue Partners, customers, or Influencer Partners; or
- circumstances beyond the reasonable control of Influencers Night Media.
Influencers Night Media acts solely as a referral and booking facilitation platform and shall not be responsible for:
- food quality;
- beverage quality;
- service delivery;
- venue safety;
- staff conduct;
- seating arrangements;
- venue availability; or
- any other service provided by the Venue Partner.
The Venue Partner remains solely responsible for the products, services, and customer experience delivered at its venue.
Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.
22. Indemnification
The Venue Partner agrees to indemnify, defend, and hold harmless Influencers Night Media, its directors, officers, employees, contractors, affiliates, representatives, and partners from and against any claims, liabilities, damages, losses, penalties, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- breach of this Agreement by the Venue Partner;
- products or services provided by the Venue Partner;
- customer complaints relating to the Venue;
- violation of applicable laws, regulations, or licences;
- infringement of third-party rights;
- inaccurate information provided by the Venue Partner; or
- any negligent, unlawful, or wrongful act or omission by the Venue Partner.
23. Force Majeure
Neither party shall be liable for any delay or failure to perform obligations under this Agreement where such delay or failure results from circumstances beyond reasonable control, including but not limited to:
- natural disasters;
- government actions;
- war;
- civil unrest;
- labour disputes;
- internet failures;
- power outages;
- pandemics;
- technical failures; or
- other unforeseen circumstances.
The affected obligations shall be suspended for the duration of the Force Majeure event.
Force Majeure shall not eliminate payment obligations already accrued before the occurrence of such event.
24. Assignment
The Venue Partner may not assign, transfer, sell, or otherwise dispose of any rights or obligations under this Agreement without prior written consent from Influencers Night Media.
Influencers Night Media may assign this Agreement in connection with:
- merger;
- acquisition;
- restructuring;
- transfer of assets; or
- any other corporate transaction.
25. Amendments
Influencers Night Media may update or amend this Agreement from time to time.
Unless otherwise stated, amendments shall become effective upon publication on the Influencers Night Media website or through official communication channels.
Continued participation in the Venue Partner Program after the effective date of amendments constitutes acceptance of the revised Agreement.
26. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of India.
Subject to applicable law, courts having jurisdiction over the registered office of Influencers Night Media shall have exclusive jurisdiction over disputes arising from or relating to this Agreement.
27. Severability
If any provision of this Agreement is held to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, such provision shall be modified or severed only to the minimum extent necessary.
The remaining provisions shall continue in full force and effect.
28. Survival
The following provisions shall survive suspension, withdrawal, or termination of this Agreement:
- payment obligations;
- referral commission obligations;
- confidentiality;
- intellectual property;
- indemnification;
- limitation of liability;
- taxes;
- governing law;
- dispute resolution; and
- any rights or obligations which by their nature are intended to survive termination.
29. Entire Agreement
This Agreement, together with the applicableTerms of Use, Privacy Policy, Payment Cancellation & Refund Policy, and any applicable written agreements issued by Influencers Night Media, constitutes the entire agreement between Influencers Night Media and the Venue Partner regarding participation in the Venue Partner Program.
It supersedes all prior discussions, negotiations, proposals, representations, or understandings relating to the Venue Partner Program.

Acceptance
By applying to join, registering for, listing a venue on, or otherwise participating in the Influencers Night Media Venue Partner Program, the Venue Partner acknowledges that it has read, understood, and agrees to be legally bound by this Agreement, together with the applicable Terms of Use, Privacy Policy, and related policies.
