Influencer Terms & Conditions

These Influencer Terms & Conditions (“Terms”) govern your participation as an approved influencer on the Influencers Night Media platform.

These Terms should be read together with our:

Where applicable, campaign proposals, booking confirmations, or other written agreements issued by Influencers Night Media shall form part of these Terms. In the event of any inconsistency, the campaign-specific agreement shall prevail for that collaboration.

1. Eligibility

You must be at least eighteen (18) years of age to apply.

Submitting an application does not guarantee approval.

Approval, participation, and continued access to the platform remain entirely at the discretion of Influencers Night Media.

You must comply with these Terms, the Terms of Use, and all applicable platform policies.

2. Verification

All influencers are subject to our review and verification process.

During this process, we may consider factors including, but not limited to:

content quality;
professionalism;
communication;
reliability;
audience relevance;
social media presence;
previous collaborations;
authenticity; and
overall suitability for the platform.

Verification does not constitute an endorsement or guarantee of quality.

Influencers Night Media may approve, reject, suspend, revoke verification, or remove any influencer at its sole discretion.

3. Independent Creator

You participate as an independent creator.

Nothing contained in these Terms creates an employment relationship, partnership, agency, joint venture, franchise, or exclusive arrangement between you and Influencers Night Media.

You remain solely responsible for your own business activities, equipment, taxes, insurance, and legal obligations.

Unless otherwise agreed in writing, you remain free to work with other agencies, brands, venues, platforms, and businesses.

4. Platform Profile

Influencers Night Media creates and manages all influencer profiles published on the platform.

You may provide photographs, portfolio materials, social media links, biographies, statistics, and other information for your profile.

We may edit, organise, format, rewrite, update, publish, or remove profile information to maintain consistency, accuracy, professionalism, and platform standards.

You remain responsible for ensuring that all information provided is accurate and lawful.
For the purposes of our platform, an influencer profile may also be referred to as a “Portfolio”, while a venue profile may be referred to as a “Business Page”. Both terms may be used interchangeably throughout our website, platform, and related documents.

The collection and processing of your information is governed by our Privacy Policy.

5. Campaign Participation

Participation in any collaboration, campaign, or event is entirely voluntary until confirmed by both parties.

Once participation has been confirmed, you are expected to honour your commitment and complete the agreed deliverables unless prevented by circumstances approved by Influencers Night Media.

Campaign-specific requirements, timelines, deliverables, and operational procedures are communicated separately and are governed by our Onboarding & Platform Guidelines together with any campaign-specific instructions.

6. Deliverables

Deliverables are determined separately for each campaign.

Unless otherwise agreed in writing, influencers are expected to:

complete agreed deliverables within the specified timeframe;
maintain professional standards;
comply with applicable advertising and disclosure laws;
produce original content unless otherwise authorised.

Failure to complete agreed deliverables without reasonable justification may affect future participation on the platform.

7. Creative Independence

Influencers remain free to express their genuine opinions and experiences.

Neither Influencers Night Media nor any participating venue may require an influencer to publish dishonest, misleading, fabricated, or deceptive content.

Influencers remain solely responsible for ensuring that published content complies with applicable laws, platform policies, advertising regulations, and disclosure requirements.

8. Content Ownership and Platform Licence

Unless otherwise agreed in writing, influencers retain ownership of the original content they create.

By submitting campaign content, photographs, videos, testimonials, or other materials to Influencers Night Media, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, publish, display, distribute, edit, promote, and archive such materials in connection with our platform, portfolio, business operations, marketing, and promotional activities.

Ownership, licensing, copyright, infringement, and intellectual property matters are further governed by our Content & Intellectual Property Policy.

The next section should be Section 9 onwards of the Influencer Terms & Conditions, incorporating the decisions we’ve made.

9. Payments

Compensation, if any, shall be determined separately for each Collaboration Event or campaign.

Unless otherwise agreed in writing, payment shall become payable only after the successful completion of the agreed deliverables and compliance with these Terms and any applicable campaign requirements.

Payment rates, payout schedules, payment methods, eligibility requirements, referral commissions where applicable, and other payment-related matters shall be governed by the Influencer Payout Schedule together with the Payment Cancellation & Refund Policy.

10. Taxes

You are solely responsible for your own taxes, statutory filings, registrations, and other legal or financial obligations arising from your participation as an independent creator.

Influencers Night Media does not provide tax, accounting, or financial advice.

11. Optional Affiliate Programme

Influencers Night Media may offer eligible influencers the opportunity to participate in optional affiliate and referral programmes.

Participation is entirely voluntary and subject to approval by Influencers Night Media.

Approval as an influencer does not automatically qualify you for participation in any affiliate or referral programme.

12. Professional Conduct

Influencers are expected to conduct themselves professionally at all times when interacting with Influencers Night Media, venues, customers, guests, fellow influencers, employees, contractors, and representatives.

Influencers must comply with our Community Standards & Code of Conduct and any operational requirements contained in the Onboarding & Platform Guidelines

Conduct that may result in suspension, removal from a Collaboration Event, or permanent removal from the platform includes, but is not limited to:

harassment;
discrimination;
abusive or threatening behaviour;
violence;
illegal activities;
fraud or misrepresentation;
creating an unsafe environment; or
failure to follow reasonable operational instructions.

13. Respect for the Platform

Influencers shall not knowingly engage in conduct intended to maliciously damage the reputation, operations, or legitimate business interests of Influencers Night Media, participating venues, other influencers, or our employees and representatives.

Nothing in this clause restricts honest opinions, lawful criticism, protected disclosures, or the exercise of any legal right.

14. Direct Collaborations

Unless otherwise agreed in writing, Influencers Night Media does not claim exclusivity over future collaborations between influencers and venues.

Following the completion of a Collaboration Event, influencers remain free to work directly with participating venues or other businesses.

Nothing in these Terms creates an ongoing exclusive commercial relationship between Influencers Night Media and any influencer.

15. Content Usage by Influencers Night Media

Influencers Night Media may photograph, film, record, or otherwise document Collaboration Events, campaigns, and related activities.

Unless otherwise agreed in writing, you grant Influencers Night Media a worldwide, non-exclusive, royalty-free licence to use, reproduce, edit, publish, distribute, display, archive, and promote your name, professional biography, Portfolio, social media handle, photographs, videos, campaign content, testimonials, and other event-related materials for our website, Business Pages, Portfolios, presentations, proposals, social media, advertising, promotional activities, and other legitimate business purposes.

This licence does not transfer ownership of your original content and is subject to our Content & Intellectual Property Policy

16. Confidentiality

Certain Collaboration Events, campaigns, venues, commercial arrangements, or other information may be designated as confidential.

Where information is identified as confidential, you agree not to disclose, publish, reproduce, or share such information without prior written authorisation from Influencers Night Media or until the agreed publication date.

This obligation does not apply where disclosure is required by law.

17. Platform Standards

Influencers are expected to maintain high standards of professionalism, honesty, reliability, punctuality, respectful communication, and ethical conduct while participating on the platform.

Influencers must comply with these Terms together with the:

Failure to maintain these standards may result in suspension, removal from a Collaboration Event, or permanent removal from the platform.

18. Suspension and Termination

Influencers Night Media may suspend, restrict, deactivate, or permanently remove any influencer, Portfolio, verification status, application, or platform access at any time where permitted by law.

Grounds for suspension or termination may include, but are not limited to:

breach of these Terms;
breach of the Terms of Use;
breach of any applicable platform policy;
fraudulent, misleading, abusive, or unlawful conduct;
repeated failure to honour confirmed Collaboration Events;
conduct that may damage the reputation, integrity, security, or operation of the platform.

Suspension or termination does not affect any rights, obligations, liabilities, or payment responsibilities that arose before such suspension or termination.

19. Artificial Intelligence and Platform Technology

Influencers Night Media may use artificial intelligence, automation, analytics, recommendation systems, fraud detection tools, moderation systems, and other technologies to operate, improve, secure, and manage the platform and its services.

Where personal information is processed through such technologies, it shall be handled in accordance with ourPrivacy Policy.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Influencers Night Media, its owner, directors, employees, contractors, affiliates, representatives, and partners shall not be liable for any indirect, incidental, consequential, exemplary, special, punitive, or business losses arising from or relating to:

your participation on the platform;
any Collaboration Event or campaign;
the acts or omissions of any venue, customer, guest, influencer, or third party;
delays, cancellations, technical failures, or circumstances beyond our reasonable control;
third-party platforms, products, or services;
user-generated content.

To the fullest extent permitted by law, our total aggregate liability arising from any claim shall not exceed the total amount actually paid by Influencers Night Media to you for the specific Collaboration Event or campaign giving rise to the claim.

Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.

21. Indemnity

You agree to indemnify, defend, and hold harmless Influencers Night Media, its owner, directors, employees, contractors, affiliates, representatives, successors, and assigns against any claims, liabilities, damages, losses, costs, penalties, and expenses (including reasonable legal fees) arising directly or indirectly from:

your breach of these Terms;
your breach of the Terms of Use or any applicable platform policy;
your unlawful, negligent, fraudulent, or misleading conduct;
your infringement of any intellectual property or other third-party rights;
content or materials submitted or published by you;
your participation in any Collaboration Event, campaign, affiliate programme, or other platform activity.

This indemnity survives the suspension, termination, or expiration of your relationship with Influencers Night Media.

22. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

The parties agree to first attempt to resolve any dispute, claim, or disagreement through good-faith discussions.

If a dispute cannot be resolved amicably, it shall be referred to arbitration in Delhi in accordance with the applicable laws of India.

Subject to applicable law, the courts located in Delhi shall have exclusive jurisdiction over any matter not resolved through arbitration or where judicial intervention is permitted.
